These Terms of Service ("Terms") govern your access to and use of the remote procedure call (RPC) application programming interface services, developer portal, and related services (collectively, the "Services") provided by Digital Energy LLC, a New Jersey limited liability company ("Digital Energy," "we," "us," or "our"). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms.
Digital Energy provides subscription-based API access to blockchain node infrastructure, including Solana RPC endpoints, operated on hardware owned and managed by Digital Energy. The Services consist of software infrastructure access only. Digital Energy is not a financial institution, money transmitter, exchange, broker, or custodian. We do not buy, sell, hold, or transmit digital assets on behalf of customers, and we do not provide investment, legal, or tax advice. All subscription fees are denominated and billed in U.S. dollars.
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and API keys. API keys are confidential credentials; you may not share, sell, or transfer them to third parties. Notify us immediately at frank@digital-energy.io of any unauthorized use.
Subscriptions are billed in advance on a recurring monthly basis through our payment processor. Each plan includes stated request, rate-limit, and feature allowances. Usage exceeding plan allowances may be throttled, rejected, or, where the plan provides, billed as overage at the published rates. We may change plan pricing or allowances prospectively with at least 30 days' notice; changes take effect at your next renewal. Taxes are your responsibility where applicable.
You may cancel your subscription at any time through the portal or by emailing frank@digital-energy.io. Cancellation takes effect at the end of the current billing period; the Services remain available through that date. Refunds are governed by our Refund Policy.
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable law or regulation, including sanctions and export-control laws; (b) attempt to probe, scan, or breach the security of the Services or circumvent authentication, rate limits, or usage metering; (c) resell or redistribute the Services without our prior written consent; (d) use the Services to transmit malware or conduct denial-of-service attacks; or (e) interfere with other customers' use of the Services. We may suspend or terminate access for violations of this section.
We engineer the Services for high availability but the Services are provided on an "as is" and "as available" basis. Scheduled maintenance, network conditions, upstream blockchain network behavior, and events beyond our reasonable control may affect availability. Any service-level commitments, if offered, are stated separately in your plan documentation and constitute your sole remedy for availability shortfalls.
Digital Energy retains all right, title, and interest in the Services, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription solely for your internal business or development purposes.
Our collection and use of personal information is described in our Privacy Policy. You retain ownership of data you transmit through the Services; you grant us a limited license to process that data solely to provide, secure, and improve the Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY BLOCKCHAIN NETWORK ACCESSED THROUGH THE SERVICES WILL OPERATE IN ANY PARTICULAR MANNER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL ENERGY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless Digital Energy and its members, officers, and contractors from claims arising out of your use of the Services in violation of these Terms or applicable law.
We may suspend or terminate the Services for material breach of these Terms, for non-payment, or where required by law or our payment processing partners. Upon termination, your license to use the Services ends and outstanding fees become due. Sections 7, 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. The state and federal courts located in Somerset County, New Jersey shall have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be communicated by email or portal notice at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.
